Please read these terms carefully before using our services

These Terms of Service ("Terms", "Agreement") govern your use of the SimpTrav platform and services operated by SimpTrav Ltd ("we", "us", "our"). By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.

1. Acceptance of Terms

By creating an account, accessing, or using the SimpTrav platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

SimpTrav provides a cloud-based travel business management platform that includes:

  • Customer Relationship Management (CRM)
  • Booking and itinerary management
  • Payment processing and invoicing
  • Website builder and customer portal
  • Business analytics and reporting
  • Integration with third-party services
  • Customer support and training resources

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to users.

3. Account Registration and Security

3.1 Account Creation

To use our services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

  • Use a strong, unique password for your account
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities under your account
  • Log out from your account at the end of each session

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. Upon termination, your right to use the services will immediately cease.

4. Subscription Plans and Billing

4.1 Subscription Plans

SimpTrav offers various subscription plans (Starter, Professional, Business, Enterprise) with different features and pricing. Current pricing is available on our pricing page and may be modified with 30 days' notice to existing subscribers.

4.2 Billing and Payment

  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • You authorize us to charge your payment method on file
  • Failed payments may result in service suspension
  • Prices are in GBP (£) and exclude applicable taxes

4.3 Transaction Fees

In addition to subscription fees, transaction fees apply to payments processed through our platform. Current rates: Starter 1.5% (capped at £600/month), Professional 1% (capped at £2,000/month), Business 0.5% (capped at £6,000/month). Enterprise plans have negotiable transaction fees. Payment processing is subject to our payment processor's terms.

4.4 Free Trial

We may offer a free trial period for new users. During the trial, you have full access to your selected plan's features. If you do not cancel before the trial ends, you will be automatically charged for your chosen subscription plan.

4.5 Cancellation and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial months or unused portions of your subscription, except as required by law or at our sole discretion.

5. User Responsibilities and Acceptable Use

5.1 Acceptable Use

You agree not to:

  • Use the service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service or servers
  • Reverse engineer, decompile, or disassemble the platform
  • Use the service to send spam or unsolicited communications
  • Impersonate another person or entity
  • Collect or harvest user data without consent
  • Resell or sublicense the service without authorization

5.2 Your Content

You retain ownership of all data, content, and materials you upload to the platform ("Your Content"). By uploading Your Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process Your Content solely to provide and improve our services. You are responsible for ensuring Your Content complies with all applicable laws and does not infringe third-party rights.

5.3 Data Accuracy

You are responsible for the accuracy and legality of all data you input into the system, including customer information, booking details, and financial records. We are not liable for errors resulting from inaccurate data entry.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The SimpTrav platform, including its software, design, features, functionality, trademarks, logos, and documentation, is owned by SimpTrav Ltd and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

6.2 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about our services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

7. Third-Party Services and Integrations

Our platform integrates with third-party services (payment processors, booking systems, APIs, etc.). Your use of these integrations is subject to their respective terms of service. We are not responsible for the availability, accuracy, or performance of third-party services. Third-party service disruptions may affect our platform's functionality.

8. Data Privacy and Security

We take data security seriously and implement industry-standard measures to protect your information. However, no system is completely secure. Our collection, use, and protection of your data is governed by our Privacy Policy. You are responsible for complying with applicable data protection laws (GDPR, DPA, etc.) when using our services to process customer data.

9. Service Availability and Support

9.1 Uptime and Availability

We strive to maintain 99.9% uptime for our services (Business and Enterprise plans include SLA guarantees). However, we do not guarantee uninterrupted access and may perform scheduled maintenance with advance notice. We are not liable for service interruptions caused by factors beyond our control.

9.2 Customer Support

Support availability varies by plan: email support for Starter, priority email for Professional, live chat for Business, and dedicated support for Enterprise. Support hours and response times are outlined on our pricing page.

10. Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The services will be uninterrupted, secure, or error-free
  • The results obtained from using the services will be accurate or reliable
  • The quality of the services will meet your expectations
  • Any errors in the software will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPTRAV LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICES.

Our total liability to you for any claims arising from these Terms or your use of the services shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless SimpTrav Ltd, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your use or misuse of the services
  • Your Content or data uploaded to the platform
  • Your breach of any representations or warranties

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on our platform at least 30 days before the changes take effect. Your continued use of the services after changes constitute your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the services and cancel your account.

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or contacting support. Upon termination, you will retain access until the end of your current billing period.

14.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, engage in fraudulent activity, or for any other reason at our discretion. We will provide notice when reasonably possible, but immediate termination may occur in cases of serious violations.

14.3 Effects of Termination

Upon termination, your right to access the services ceases immediately. You may request a data export within 30 days of termination. After 30 days, we may delete your data in accordance with our data retention policy. Fees paid are non-refundable upon termination.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

If you have a dispute with us, please contact us first at legal@simptrav.com to attempt informal resolution. Most disputes can be resolved this way.

15.2 Binding Arbitration

If informal resolution fails, any disputes arising from these Terms or your use of the services shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA), except where prohibited by law.

15.3 Class Action Waiver

You agree that disputes must be brought on an individual basis only, and not as a plaintiff or class member in any class or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not permitted.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of England and Wales, and you consent to the jurisdiction of such courts.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SimpTrav Ltd regarding the use of our services and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, strikes, or technical failures.
